These Terms of Service ("Terms") form a binding agreement between you and XWorld Ventures ("XWorld Ventures", "we", "us", or "our") and govern your access to and use of our website, applications, and services (together, the "Platform"). Please read them carefully. By creating an account or using the Platform, you agree to these Terms.
1. Introduction
XWorld Ventures provides a platform for discovering, buying, and selling shares in publicly listed and private technology companies. This includes a secondary market through which verified employees and early shareholders may list shares for sale to eligible buyers.
By accessing the Platform you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced within them, including our Privacy Policy. If you do not agree, you must not use the Platform.
2. Definitions
- Account - the personal account you register to access the Platform.
- Primary / public market - the buying and selling of publicly listed shares at prevailing market prices.
- Secondary market - the facility through which holders of private-company shares may list them for sale to eligible buyers.
- Listing - an offer to sell shares published on the secondary market by a verified Seller.
- Order - an instruction you submit to buy or sell shares.
- Content - all text, data, graphics, and materials made available on the Platform.
3. Eligibility
To use the Platform you must be at least 18 years old, have the legal capacity to enter into a binding contract, and not be barred from using the Platform under the laws of your jurisdiction. The Platform may not be available in all regions, and certain features may be restricted depending on your location and verification status.
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We may refuse, suspend, or close accounts at our discretion where eligibility cannot be confirmed.
4. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. We strongly recommend enabling two-factor authentication.
You must notify us immediately at security@xworldventures.com if you suspect any unauthorized access or use of your Account. We are not liable for losses arising from your failure to safeguard your credentials.
5. Using the platform
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial investing activity.
We may add, modify, or remove features at any time. We may also impose limits on certain features or restrict access to parts of the Platform without notice or liability.
6. Public market trading
When you place an Order to buy or sell publicly listed shares, you authorize us (or our execution partners) to act on that instruction. Prices shown are indicative and may change between the time you place an Order and the time it is executed.
Where fractional shares are offered, your interest may be held on a pooled basis through a custodian. Fractional interests may carry different rights from whole shares and may not be transferable off the Platform.
7. Secondary market
The secondary market enables eligible buyers to purchase shares in private companies directly from verified Sellers. Private securities are inherently illiquid, harder to value, and higher risk than publicly traded securities.
We verify the identity of Sellers and take reasonable steps to validate ownership of the shares offered before a sale completes. However, we do not guarantee the future value, transferability, or performance of any private security, and a company may never undertake an IPO or liquidity event.
Secondary transactions may be subject to company-specific transfer restrictions, rights of first refusal, lock-ups, and applicable securities laws, which can delay or prevent settlement.
8. Listing & selling shares
If you list shares for sale, you represent and warrant that you legally own them, have the right to sell them, and that the sale does not breach any agreement, company policy, or law to which you are subject.
You must provide accurate information about your holdings and complete our verification process. We may decline, edit, or remove any Listing, and may cancel a transaction where verification fails or where we reasonably suspect fraud, misrepresentation, or legal restriction.
9. Orders & settlement
An Order does not constitute a completed transaction until it has been matched, accepted, and settled in accordance with our processes. Settlement times vary, and secondary-market settlement may take significantly longer than public-market settlement.
We may reject, cancel, or unwind Orders in cases of suspected error, market disruption, technical failure, or where required by law.
10. Fees & charges
Applicable fees are disclosed before you confirm a transaction. Fees may include trading fees, secondary-market transaction fees, and payment-processing charges. Subscription plans, where offered, are billed in advance and are described at the point of purchase.
We will give reasonable advance notice of any material change to our fees. Continued use of the Platform after a change takes effect constitutes acceptance of the revised fees.
11. Deposits & withdrawals
Client funds are held separately from our own operating funds. You may deposit and withdraw funds only through verified payment methods registered to you.
We may apply holds, limits, or additional checks on deposits and withdrawals to comply with legal obligations or to prevent fraud. Withdrawals are processed to verified destinations only.
12. Risk disclosure
Investing involves risk, including the possible loss of some or all of your capital. The value of investments can go down as well as up, and past performance is not a reliable indicator of future results.
- Private and pre-IPO securities are illiquid and may be impossible to sell when you wish.
- Valuations of private companies are estimates and may not reflect realizable value.
- Currency, market, and concentration risks may affect your portfolio.
You should only invest money you can afford to lose, and consider seeking independent financial advice.
13. No investment advice
Nothing on the Platform constitutes financial, investment, legal, or tax advice, or a recommendation or solicitation to buy or sell any security. All content is provided for informational purposes only. You are solely responsible for your investment decisions.
14. Verification, KYC & AML
To comply with applicable laws, we operate identity verification (Know Your Customer) and anti-money-laundering (AML) programs. You agree to provide the information and documents we request and authorize us to verify them with third parties.
We may suspend or close accounts, freeze funds, and report activity to authorities where required by law or where we reasonably suspect financial crime.
15. Acceptable use
You agree not to:
- Use the Platform for any unlawful, fraudulent, or manipulative purpose;
- Provide false information or impersonate any person or entity;
- Attempt to disrupt, reverse engineer, or gain unauthorized access to the Platform;
- Use automated means to access the Platform without our written permission;
- Engage in market manipulation, insider dealing, or any abusive trading practice.
16. Intellectual property
The Platform and all Content, trademarks, and software are owned by or licensed to XWorld Ventures and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Platform.
17. Third-party services
The Platform may rely on or link to third-party services, including payment processors, custodians, and data providers. We are not responsible for the content, policies, or practices of any third party, and your use of those services may be subject to separate terms.
18. Suspension & termination
You may close your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Platform or other users.
On termination, provisions that by their nature should survive - including risk disclosure, disclaimers, limitations of liability, and dispute resolution - will continue to apply.
19. Disclaimers & limitation of liability
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, XWorld Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or investment value, arising from your use of the Platform.
20. Indemnification
You agree to indemnify and hold harmless XWorld Ventures and its officers, employees, and partners from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your Content or Listings, or your breach of these Terms or applicable law.
21. Disputes & governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Before bringing any formal claim, you agree to first contact us so we can try to resolve the matter informally.
Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable law grants you the right to bring proceedings elsewhere.
22. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms here and update the "Last updated" date, and where appropriate notify you. Your continued use of the Platform after changes take effect constitutes acceptance.
23. Miscellaneous
Entire agreement. These Terms, together with any policies referenced, constitute the entire agreement between you and us regarding the Platform.
Severability. If any provision is found unenforceable, the remaining provisions will continue in full force.
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
No waiver. Our failure to enforce any right is not a waiver of that right.
